Terms and Conditions of Sale

1 DEFINITIONS:

We/Us/Our refers to Churchill Controls Limited. Goods comprise any equipment supplied by Us, which may be either manufactured by Us or by others, and include services such as installation, commissioning and training Quotation is any Quotation, tender or offer of supply of Goods and/or services. The Customer is the person or company to whom We supply the Goods.

2 EXCEPTIONS:

Any variation from the following conditions will only be valid if agreed by Us in writing.

2 VALIDITY:

Unless stated otherwise, all Quotations are valid for thirty days from the date of issue..

4 PRICES:

All Prices are in Pounds Sterling unless stated otherwise, and exclude carriage, packing and insurance. Carriage Packing and insurance are generally quoted as a separate item. Goods for overseas shipment are quoted FOB UK port, unless stated otherwise.

5 DELIVERY:

5.1 Our Quotations state the expected delivery period which We reasonably expect to achieve. We will not be held liable for any consequential costs if We are unable to meet the proposed delivery period, for whatever reason.

5.2 If delivery is delayed by the Customer, (e.g. by non-payment of a Pro-Forma invoice), then We reserve the right to charge interest and/or re-allocate the Goods to other Customers. If the Goods are re-allocated, the delivery period may be extended beyond the time that the problem is resolved.

6 ACCEPTANCE OF ORDERS:

If a Customer places an order against a Quotation, We will not accept the order until We have confirmed that it matches the details given on the Quotation and includes all necessary information (such as delivery address and payment terms). We will then issue an Order Acceptance which states Our scheduled delivery date.

7 CANCELLATION:

Cancellation of any order We receive from a Customer can only be made by mutual consent and on terms which indemnify Us against any loss.

8 MODIFICATIONS:

Changes at the Customer’s request in the specification of the Goods to be supplied can only be made with Our agreement and may render the quoted price and/or delivery period subject to change.

9 DAMAGE OR LOSS IN TRANSIT:

We will insure the Goods against loss or damage in transit. This insurance becomes void when the Customer signs an unconditional acceptance of the Goods from the carrier. If the Customer has reason to believe that the Goods may be damaged or incomplete, then he must not sign an unconditional acceptance for the Goods, and must notify Us within three days. The packing and all paperwork should be retained for inspection.

10 PAYMENT:

CHURCHILL-CONTROLS.CO.UK use a secure payment site called “PayPal”. PayPal is a company run by eBay. All payments are 100% secure. Paypal accepts all major Credit and Debit Cards and you do not need to have a PayPal account to use this service.

11 DESCRIPTION:

All descriptions, drawings, specifications, dimensions and other particulars furnished in catalogues, price lists and other documents issued by Us are as accurate as possible but being given for general information are not to be treated as binding unless specifically confirmed in writing.

12 WARRANTY:

All Goods supplied by Us are guaranteed for a period of 12 months from the date of delivery, subject to the following conditions:

12.1 We will not accept liability for any defect which is due to fair wear and tear, negligent use, tampering, improper handling, improper use, improper operation or improper storage.

12.2 In the case of Goods supplied but not manufactured by Us We will extend to the Customer the benefit of Our supplier’s warranty.

12.3 Our liability is limited to the repair or replacement of any fault Goods returned to Our works during the warranty period. Repair or replacement will be at Our discretion.

12.4 The Customer will be liable for the cost of returning the Goods to Us. We will be liable for the cost of returning the Goods to the Customer.

12.5 We shall not be liable for any consequential loss or damage arising from the use of the Goods.

13 DESIGN RIGHTS:

Design rights to Goods offered or supplied shall remain Our absolute property and Our Goods and all documentation supplied by Us will not be copied or reproduced without Our previous written consent.

14 LEGAL CONSTRUCTION:

Contracts shall in all respects be construed and operated as an English Contract and in conformity with English Law, and unless otherwise arranged be subject to the jurisdiction of the English Courts.
